Terms & Conditions
Please read these Terms & Conditions carefully before engaging Loft & Fern for any service. By submitting a contact form, signing a service agreement, or making a payment, you confirm that you have read and agreed to these terms. If you do not agree, please do not proceed with an engagement.
1.Definitions
- "Loft & Fern", "we", "us" โ refers to the interior design studio operating under this name at the registered address above.
- "Client", "you" โ any individual or entity engaging our services.
- "Services" โ Space & Style Assessment, Complete Design & Visualization, or Project Follow-Through, as described on our website and in any service agreement.
- "Agreement" โ the service agreement issued by Loft & Fern and accepted by the Client.
- "Deliverables" โ documents, drawings, visualizations, or other outputs produced as part of a service.
2.Acceptance of Terms
These terms apply to all engagements with Loft & Fern. Commencement of services implies acceptance. Clients must be at least 18 years of age and have the legal capacity to enter a binding agreement.
3.Service Description
Details of each service โ including scope, timeline, and deliverables โ are described on our website and confirmed in the service agreement issued before work begins. The scope of any service is fixed as described unless changes are agreed in writing by both parties.
Services are delivered in Malaysia, primarily within the Klang Valley. Engagements outside this area are subject to individual agreement, including travel arrangements if required.
4.Payment Terms
Service fees are as published on the Loft & Fern website at the time of booking, or as stated in the service agreement. Payment is structured as follows:
- Space & Style Assessment: Full payment required at time of booking, prior to the site visit.
- Complete Design & Visualization: 50% upon agreement signing; 50% upon delivery of final design documentation.
- Project Follow-Through: 50% upon agreement signing; 50% upon completion of the final styling session.
Payments are accepted by bank transfer to the account details provided in the service agreement. Late payments may result in a pause in service delivery. Currency is Malaysian Ringgit (MYR).
5.Cancellation and Refunds
Client cancellation
- Space Assessment: cancellations made more than 48 hours before the scheduled site visit are eligible for a full refund. Cancellations within 48 hours forfeit the payment.
- Complete Design & Visualization: the 50% commencement payment is non-refundable once work has begun. If Loft & Fern has not yet commenced work, a full refund of any payment made will be issued.
- Project Follow-Through: same conditions as above apply.
Service cancellation by Loft & Fern
We reserve the right to decline or discontinue a project if circumstances make it infeasible (e.g. access to the property cannot be arranged, or a client's conduct makes continued engagement unsuitable). In such cases, a fair refund proportional to work completed will be offered.
6.Client Responsibilities
- Provide accurate information about the property and project scope
- Arrange reasonable access to the property for site visits and inspections
- Respond to queries and provide approvals within a reasonable timeframe (typically 5 business days)
- Ensure all property-related permissions, consents, and approvals are in place before renovation begins
- Engage contractors directly โ Loft & Fern does not enter into construction contracts on behalf of the Client
7.Intellectual Property
All designs, drawings, visualizations, and documents produced by Loft & Fern remain the intellectual property of Loft & Fern until full payment has been received. Upon receipt of final payment, the Client is granted a non-exclusive licence to use the deliverables for the specific project described in the agreement.
Deliverables may not be resold, adapted for commercial use beyond the original project, or shared with third parties for design purposes without written consent from Loft & Fern.
Loft & Fern reserves the right to photograph completed projects for portfolio purposes, subject to Client consent, which will be sought in writing.
8.Disclaimers
- Design recommendations are based on professional judgement and the information provided by the Client. We do not warrant that designs will produce specific aesthetic outcomes once built, as construction quality depends on contractor execution.
- Loft & Fern does not manage construction contracts and is not responsible for contractor performance, costs, or timelines beyond the scope of Project Follow-Through.
- Material and product availability is subject to supplier conditions. Substitutions may be required; these will be discussed with the Client before proceeding.
9.Limitation of Liability
Loft & Fern's total liability to a Client in connection with any service shall not exceed the total fees paid for that service. We are not liable for indirect, consequential, or incidental losses arising from the engagement, including losses arising from contractor delays or errors.
10.Confidentiality
All Client information, including property details, personal preferences, and project specifics, is treated as confidential. Loft & Fern will not share this information with third parties except as necessary to deliver the service (e.g. with a supplier) or as required by law.
11.Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution informally before pursuing legal action. This involves a written notice of the dispute and a period of 30 days for good-faith negotiation.
If informal resolution fails, disputes shall be subject to the laws of Malaysia and the jurisdiction of the courts of Kuala Lumpur.
12.General
- Entire agreement: These terms, together with the service agreement, constitute the full agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Assignment: Clients may not assign their rights or obligations without our written consent.
- Governing law: These terms are governed by the laws of Malaysia.
13.Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page will reflect any changes. For existing clients, the terms in force at the time of their service agreement will apply unless otherwise agreed.
